CONTEST RULES[*]
This document serves as the official rules (the “Rules”) for the ICL America’s Cyber Cup 2023 (the “Competition”). Please see below for eligibility rules, event rules, judging rules, and prize rules.
This Competition is sponsored by Cyberbit, Inc., in partnership with Miami Dade College.

Binding Agreement
In order to enter the Competition, you (“You,” “Your,” or “Participant”) must agree to these Rules. Therefore, please read these Rules prior to registration to ensure that You understand and agree. You are not eligible to receive the prizes described below unless You accept these Rules. By registration in the Competition You Accept the Rules, which form a binding agreement between You and Cyberbit, Inc. (the “Sponsor” or “Cyberbit”) with respect to the Competition , and agree to be bound by them.
Right to Publish and Use Information and Material about the Participant
The purpose of collecting and using the information and recordings in section (ii) above is for:
“Publish” includes the right to, edit, crop, copy, reproduce, translate, distribute, broadcast in any media, throughout the world, including but not limited to, the internet and social media with or without mention of Participant’s name.
The purpose of Publishing the images, information, and recordings / videos in (iii) above is for marketing, advertising, and promotion of the Competition and its progress and of Cyberbit.
You may request Cyberbit not to use or to stop using the images, information, and recordings / videos detailed in (iii) above, by sending an email to privacy@cyberbit.com. Note that Cyberbit will not be able to retrieve any Publication already made, however it will not make any additional Publications after receiving Your written notice.
Personal information provided in connection with the Competition will be used and disclosed by Sponsor as necessary for the purposes of administering the Competition and otherwise in accordance with the https://www.cyberbit.com/privacy-policy. The personal information will be kept at the offices or on the servers of Sponsor or its service providers, some of which may be located outside Your jurisdiction and become subject to local laws in these jurisdictions, and will be accessible to employees of Sponsor or its services providers that require it for the purposes of their duties. You hereby consent to the collection, use, storage and disclosure of Your personal information for the purposes set out in these Rules. To the extent that You provide to Sponsor any personal information relating to another individual, You hereby represent and warrant to Sponsor that You have obtained the consent of this individual to provide their personal information to Sponsor and to the collection, use, storage and disclosure of their personal information for the purposes and as otherwise set out in these Rules.
Participant hereby waives any inspection or approval of use of its name and likeness in the manner described in these Rules, as well as any claims based upon, right of publicity, defamation, false endorsement, or claim of visual or audio alteration or faulty mechanical reproduction.
Participant shall not be entitled to any payment or other compensation for any use described above. Participant hereby irrevocably waives the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction and further acknowledges that with respect to the Competition, all copyrights, including the right to reproduce Participant’s name, likeness or image shall belong to Sponsor exclusively. Participant hereby waives, releases, and discharges Cyberbit from any and all claims in relation to such usage.

Eligibility
The Competition is open to individuals who are eighteen years or older, and are cyber security professionals currently residing (including at the date of the Competition) in North America, Central America, LATAM, EU, EAU, Australia, Singapore, New Zealand and Israel (“Eligible Territory”) and employed either by an entity operating corporate Security Operations Center (“SOC”) or by a Managed Security Services Provider (“MSSP SOC”) based in the Eligible Territory.
Applicants may only participate in groups of up to three (3) individuals (each, a “Team”) employed by the same SOC or MSSP SOC. Participants must compete in the Team named in their registration. The Sponsor is not responsible for resolving any disputes between Team members.
Employees, officers, directors, representatives and agents of the Sponsor and each of its subsidiaries, affiliates, officers, directors, retailers, sponsors, broadcasters, licensees and advertising/promotion agencies, and the immediate family members and those living in the same household of each, whether or not related, are not eligible to participate in the Competition. The Competition is void where prohibited by law.
Trade Restrictions and Export Control
Participants who fall within the scope of this section are not eligible for participation in the Competition.
Prohibited Persons. Participant represent and warrant that he is not an individual or an entity which is: (i) located in, under the control of, or a national or resident of Cuba, North Korea, Iran, Syria, Lebanon or Sudan or such other countries as may be additionally designated from time to time by the applicable governments where Cyberbit and/or any of its Affiliates are incorporated; or (ii) listed under the United States Treasury Department’s Office of Foreign Asset Control list of “specially designated nationals and blocked persons,” the United States Commerce Department’s “denied parties list”, the United States Commerce Department’s “BIS Entity List” or such other applicable lists.
Application Deadline and Registration Details
The deadline to register is May 20, 2023, at 00:00 PM PST (the “Application Deadline”). Cyberbit reserves the right to suspend any registration at any time prior to the Application Deadline in its sole discretion. Each Team shall nominate a Team representative who will perform the registration on its behalf in the registration form available here, provided however that all applicants must complete the online application form available here.
Following Registration, the Teams will be evaluated by the Sponsor and Judges appointed by the Sponsor (each, a “Judge”) for admission to the Competition based upon cybersecurity experience and abilities. The Sponsor may request verification of qualifications and identity as a condition to admission to the Competition. Registration for the Competition does not guaranty acceptance to the Competition.
Sponsor may conduct a call with each Applicant or the entire Admitted Team to determine their qualifications and competency to participate in the Competition.
Only Applicants or Admitted Teams who are approved by Sponsor for participation in the Competition shall be eligible to participate. Each Applicant shall receive written notification from Sponsor if they are eligible to participate in the Competition or not.
Sponsor reserves the right not to approve the participation of any Applicant for any reason whatsoever, in its sole discretion and each Applicant waives any right they may have towards Cyberbit with respect to non-eligibility to participate in the Competition.
Teams will be disqualified if they do not comply with these Terms.
Competition Period
The Competition begins on May 22, 2023 and ends on July 14, 2023. The event period, which includes event programming, presentations, and judging, will last until July 14, 2023.
Competition Event Rules
The Competition will comprise varying levels of challenges (each, a “Challenge”) through Cyberbit’s Cloud platformto test the Teams’ cyber skills in detecting, investigating, and mitigating hyper-realistic attack simulations on the Cyberbit Cloud. The Competition is comprised from several rounds and Sponsor reserves the right to designate additional rounds or make change to the rounds during the Competition. Each round will provide increasingly complex challenges requiring ever complicated Team submissions through the Cyberbit Cloud platform (the “Submissions”), discovering, and ultimately crowning just one team as the World’s Best Professional Defensive Cyber Team.
Each Participant must supply his/her own computer, a browser, a stable broadband internet connection, and the ability to connect to the Cyberbit Cloud platform. Once Your eligibility to participate in the Competition has been approved, You will receive connectivity test instructions to ensure You can connect to the Cyberbit Cloud.
By participating in the Competition, You agree not to publicly disclose, post, or otherwise publish any information about the Competition, or any of the data provided by the Sponsor, in part or in full – whether literally and/or its equivalent, in any media, including, but not limited to any periodical, newspaper, magazine, journal, website and/or social media platform, without the prior written consent of the Sponsor, which reserves the exclusive right to make such decision. You also agree not to record or take screen shots of the Cyberbit Cloud platform for any use whatsoever, including without limitation personal use.
Judging Criteria
Teams will be judged based on the following criteria. Such criteria are subject to change in the discretion of the Judges in each round of the Competition.
Prizes
Except for the Prizes to Government employees or representatives as described below, the finalist Teams will receive prizes dependent on each finalist’s ranking by the Judges subject to the criteria above. The prizes are final and non-transferable by the winner. There is no cash alternative to the prizes. If You accept a prize, You will be solely responsible for all applicable taxes (if any) related to such prize. The success of the Teams is based purely on skill and not on chance. No transfer or substitution of prizes, except at the sole discretion of Sponsor. The award of a prize to the winning Teams should not be analyzed as an incentive to enter into a business relationship in one way or another with the Sponsor.
Prizes to Government employees or representatives
Government employees or representatives shall not be entitled to receive a single prize which value exceeds USD 20, or several prizes with a cumulative value which exceeds USD 50 during a calendar year (“Prizes for Governmental Representatives”), and therefore will be eligible to prizes which are different than those published for the other participants.
For this purpose, Government employees or representatives include without imitation any person holding a position with one or more of the following: military, faculty members of governmental owned or publicly-funded academic institutions, Government owned or controlled organizations and other public bodies, Governmental ministries or government agencies, political parties and any other person who performs public duties or functions for a state.
Participants which are otherwise barred from receiving prizes in the Competition or limited to receiving prizes of a lower value due to applicable rules, regulations, and/or policies will advise Cyberbit in writing of such limitation and shall either waive their rights to the award of such prizes, or receive the Government Official Prizes. Sponsor reserves the right to substitute any prize for a similar prize of equal or greater value. Winners will be notified by email not more than seven (7) days following the closing date of the Competition. Reasonable efforts will be made to contact the winning Teams for up to seven (7) days. In the case of no response from a winning Team upon expiration of that period, Sponsor reserves the right to disqualify that Team and the respective Participants and offer the prize to the next eligible Team. Prizes will be sent to the Winners within 45 days from announcement of the winners.
The prizes include:
First Place: Apple MacBook Pro M2 Chip (13-inch, 16GB RAM, 256GB SSD Storage) for each member of the Team.
Approximate Retail Value (“ARV”) of each first-place prize: 1,500$.
Second Place: Apple iPad Pro for each member of the Team.
ARV of each Second Place Prize: 1,200$
Third Place: Apple Watch Series 8 for each member of the Team.
ARV of each Third Place Prize: 400$.
Fourth Place: Apple AirPods Pro for each member of the Team.
ARV of each Fourth Place Prize: 130$.
Total ARV
The total approximate retail value of all prizes may only be determined once registration has been completed based upon the number of Participants and Teams participating in the Competition. The ARV of each prize does not include any VAT, GST or other tax nor does it include the price of shipment.
Code of Conduct at the Competition
Cyberbit is an organization built on integrity and strong moral beliefs. Cyberbit is committed to providing a safe and welcoming space, without regard to age, gender, race, ethnicity, nationality, sexual orientation, gender identity, gender expression, mental or physical disability, physical appearance, neuro(a)typicality, religion, level of knowledge, level of experience, parental status, marital status, socioeconomic status or background, political affiliation, or any other attribute. The Participants of this event are expected to act with the utmost respect for their teammates and competitors and should not show any unwelcome or hostile behavior towards another person for any reason. This includes, but is not limited to, offensive verbal comments related to personal characteristics or choices, sexual images or comments, deliberate intimidation, bullying, stalking, following, harassing photography, or recording, sustained disruption of discussion or events, nonconsensual publication of private comments, inappropriate physical contact, or unwelcome sexual attention. Conduct need not be intentional to be harassment.
Participants undertake not to act in a deceptive or dishonest way at all times during the Competition.
When Participants are allocated assignments which they should conclude by themselves, they undertake not to receive assistance in any way or manner from anyone else.
For these purposes, when performing personal or group tasks or Challenges, Participants may be asked to have their ZOOM microphones on, while completing Challenges or tasks. When using the ZOOM, participants will be identified by their full name or their initials and their entity name.
Participants from one Team are required not to discuss the Competition with another Team, exchange or provide information regarding the Competition or to cooperate with them in any way with respect to the Competition.
Violation of this Code of Conduct shall be grounds for disqualification of the entire Team of an offending Participant.
Intellectual Property Rights
Each Team and its Participants warrant and represent that its approaches, methodologies, and Submissions are original and are not copied from any other source. Sponsor shall own all right, title and interest to the Submissions (including all content and all rights embodied therein) and it may exploit, edit, modify, and distribute the Submissions, without limitation, and without compensation, further permission, or notification. By registering for the Competition, You hereby assign, and agree to assign automatically as they arise to Sponsor, any existing and future rights, including any intellectual property rights in any and all Submissions, and to waive any moral rights You may have in any and all Submissions.
General Conditions
All federal, state, and local laws and regulations apply. Sponsor reserves the right to disqualify any Participant from the Competition if, in Sponsor’s sole discretion, it reasonably believes that the Participant has attempted to undermine the legitimate operation of the Competition by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other Participants, Sponsor, or the Judges.
Warranty and Indemnity
Each of the Participants warrants that all Submissions submitted in connection with the Competition are its own original work and, as such, Participant is the sole and exclusive owner and rights holder of the submitted materials and that Participant has the right to submit the materials in the Competition and grant all required licenses.
Each Participant agrees not to submit any materials that (1) infringe any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity or confidentiality obligations; or (2) otherwise violates the applicable state, federal, local or provincial law.
By participating in the Competition, Participants agree to release and hold harmless the Sponsor, and each of its respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Competition, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Competition or receipt or use of any prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Competition, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Competition; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, or (e) any other errors or problems in connection with the Competition, including, without limitation, errors that may occur in the administration of the Competition, the announcement of the winner, the cancellation or postponement of the event, the incorrect downloading of the application, the processing of entries application downloads or in any Competition-related materials; or to the extent applicable law (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Participants participation in the Competition or acceptance, receipt or misuse of the prize (including any travel or activity related thereto).
Participant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Competition, and in no event shall the Participant be entitled to receive attorney’s fees. Released Parties are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Competition. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. To the extent applicable law, the foregoing shall not apply to damages resulting from injury to life, limb or health, for damages based on intentional conduct or gross negligence on the part of the Sponsor.
Elimination
Any false information provided within the context of the Competition by any Participant concerning identity, qualifications, mailing address, telephone number, email address, ownership of right or non-compliance with these Rules or the like may result in the immediate elimination of the Participant from the Competition in the Sponsor’s sole discretion.
Internet
The Sponsor is not responsible for any lost, damaged, misdirected, incomplete, illegible, undeliverable, or destroyed Submissions or entry materials due to system errors, failed, incomplete or garbled computer or other telecommunication transmission malfunctions, hardware or software failures of any kind, lost or unavailable network connections, typographical or system/human errors and failures, technical malfunction(s) of any telephone network or lines, cable connections, satellite transmissions, servers or providers, or computer equipment, traffic congestion on the Internet, or any combination thereof, including other telecommunication, cable, digital or satellite malfunctions which may limit an Participant’s ability to participate.
Right to Cancel, Modify, or Disqualify
If for any reason the Competition is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, issues related to the Covid-19 pandemic, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Competition, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Competition. Sponsor further reserves the right to disqualify any Participant who tampers with the Submission process or any other part of the Competition. Any attempt by a Participant to deliberately damage the Cyberbit Cloud, any web site, or undermine the legitimate operation of the Competition is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such Participant to the fullest extent of the applicable law. Sponsor may change, modify, or amend these Rules at any time and from time to time in its sole and exclusive discretion.
Not an Offer or Contract of Employment
Under no circumstances shall the participation in the Competition, the awarding of a prize, or anything in these Rules be construed as an offer or contract of employment and/or an independent contractor relationship with either Sponsor. You acknowledge that You have sought to participate in the Competition voluntarily and not in confidence or in trust. You acknowledge that no confidential, fiduciary, agency or other relationship or implied-in-fact contract now exists between You and Sponsor and that no such relationship is established by Your participation in the Competition under these Rules.
Arbitration
Except where prohibited by law, as a condition of participating in the Competition , Participant agrees that at the sole and exclusive discretion of Sponsor that (1) any and all disputes and causes of action arising out of or connected with this Competition, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in New York City, New York and judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Competition).
Choice of Law
All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of Participant and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.

[*] The term “International Cyber League” has been conceived to describe the Competition as a battle among teams of leading cyber security professionals.
Government employees or representatives and other Participants that are barred from receiving prizes in the Competition or limited to receiving prizes of a lower value due to applicable rules, regulations, and/or policies may opt out of and waive their rights to the award of such prizes at the time of Competition registration. No prizes will be awarded to any Participants in contravention of applicable laws and regulations.

In case a Government employee or representative reaches one of the 4 top places in the Competition, they will eligible to a different prize which complies with the rules above.
